1. Acceptance of Terms

By accessing or using Apex AI University ("the Service"), operated by Axon Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Apex AI University provides online educational courses, community access, AI-powered tools (including chat assistants and prompt libraries), and related digital content about artificial intelligence. Courses are delivered through our website at apexaiu.com.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately at support@apexaiu.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Purchases, Pricing & Refunds

5.1 Payment Processing

Payments are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. All prices are in US dollars unless stated otherwise.

5.2 What the AI Coach Subscription Grants

An active AI Coach subscription grants access to the curriculum of every course in the catalogue — its modules and lesson outline — and to an AI coaching agent per course, together with progress tracking, for as long as the subscription is active and Apex AI University continues to operate the Service. Courses are not sold individually, and there is no lifetime or one-time purchase of course access.

The Service does not include video lessons, written lesson bodies, quizzes, downloadable resources, or completion certificates, and nothing in these Terms or on the Site should be understood as a promise of any of them.

AI coaching responses are generated by a large language model. They may be incorrect or incomplete and are not professional, legal, financial, or technical advice.

5.3 Free Trial and Automatic Renewal

The AI Coach subscription begins with a 7-day free trial. A valid payment method is required to start the trial. You will not be charged during the trial period. Unless you cancel before the trial ends, your payment method is charged automatically on day 8 at the then-current subscription price, and the subscription renews automatically — monthly for a monthly plan, annually for an annual plan — at the same price until you cancel.

You may cancel at any time, including during the trial, from your profile page or by emailing support@apexaiu.com. Cancellation stops all future charges and takes effect at the end of the period you have already paid for. No partial refunds are given for unused portions of a billing period. We will give notice of any price change before it applies to your renewal.

5.4 Founding Implementation Cohort

The Founding Implementation Cohort is a separate, one-time purchase sold by application rather than self-serve checkout. It comprises scheduled 1:1 sessions with a member of Apex AI University over a 12-week period and 12 months of AI Coach access. Seats are limited and a purchase is confirmed only once we confirm it in writing. It is a service delivered by a person; outcomes depend on the work you do, and no specific business, revenue, or employment result is promised or implied.

5.5 7-Day Money-Back Guarantee

All purchases come with a 7-day money-back guarantee. If you are not satisfied within 7 days of a charge, email support@apexaiu.com for a full refund. After 7 days, that charge is non-refundable. Refunds are processed within 5-10 business days.

6. Intellectual Property

All curriculum content, prompt libraries, software, and branding are the intellectual property of Axon Labs LLC, protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or resell any content without our prior written consent.

You retain ownership of any original content you create using techniques learned in our courses. Any projects, code, or materials you build are yours.

7. Acceptable Use

You agree not to:

• Share, redistribute, or resell course content or login credentials
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Harass, abuse, or threaten other users in the community
• Upload malicious code or interfere with the Service's operation
• Use automated tools to scrape or download course content

8. Community Guidelines

Community members must be respectful, constructive, and professional. Sharing course content outside the community, spam, harassment, discrimination, and illegal activity are prohibited. Violations may result in immediate account termination without refund.

9. AI-Powered Features

Our Service includes AI-powered features (chat assistants, content generation tools). AI outputs are provided for informational and educational purposes only. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are responsible for reviewing and verifying any AI output before relying on it.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee specific outcomes, earnings, or results from using our courses. To the maximum extent permitted by law, Axon Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Axon Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 10, 11, and 14 survive termination.

13. Modifications

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class-action lawsuits or class-wide arbitration.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
